End User License Agreement (EULA)

Effective Date: July 1, 2026

This End User License Agreement ("EULA") is a legal agreement between you ("you" or "User") and Cummins Worldwide™ ("Company," "we," "us," or "our") regarding your use of any software, client portals, dashboards, online tools, or digital services we provide in connection with our services (collectively, the "Software").

By clicking "I Accept," accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.

1. License Grant

Subject to your compliance with this EULA and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your own internal personal or business purposes during the term of your relationship with us.

2. Ownership

The Software, and all intellectual property rights in it, remain the exclusive property of Cummins Worldwide™ and its licensors. You receive no ownership rights — only the limited license described above. The Software is licensed, not sold.

3. Restrictions

You agree not to:

• Copy, modify, reverse-engineer, decompile, or create derivative works of the Software
• Rent, sell, sublicense, assign, or transfer your license to anyone else
• Use the Software for any unlawful purpose or to transmit harmful code
• Remove or alter any copyright or proprietary notices
• Share login credentials or permit unauthorized access
• Use the Software in any way that competes with our services or exceeds the scope of this license

4. Your Data

Any data you input into the Software remains yours. You grant us a limited license to use it solely to provide our services to you. How we collect, use, and protect your information is described in our Privacy Policy, which is incorporated into this EULA by reference.

5. Financial Disclaimer

The Software and any information or tools it provides are for general informational and operational purposes only. Nothing in the Software constitutes personalized tax, legal, accounting, or financial advice. For guidance specific to your situation, consult a qualified professional.

6. Term and Termination

This EULA is effective until terminated. We may suspend or terminate your license immediately if you breach any term of this EULA, fail to pay applicable fees, or if we discontinue the Software. Upon termination, you must stop using the Software and delete any local copies. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will continue in effect.

7. Updates and Support

We may release updates to the Software at any time, and some updates may be required to continue using it. We are not obligated to provide support, maintenance, or updates unless separately agreed in a client services agreement.

8. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be uninterrupted or error-free. You assume all risk associated with your use of the Software.

9. Limitation of Liability

To the maximum extent permitted by law, Cummins Worldwide™ will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this EULA or your use of the Software. Our total liability to you for any claim will not exceed the fees you paid us in the twelve (12) months immediately preceding the claim.

10. Indemnification

You agree to indemnify and hold Cummins Worldwide™ harmless from any claims, losses, or damages arising from your misuse of the Software or your violation of this EULA.

11. Governing Law

This EULA is governed by the laws of the State of Florida. Any disputes arising under this EULA will be resolved exclusively in the state or federal courts located in Pinellas County, Florida.

12. General

This EULA is the entire agreement between you and Cummins Worldwide™ regarding the Software and supersedes any prior understandings on the same subject. If any provision is found unenforceable, the remaining provisions stay in effect. We may update this EULA from time to time; continued use of the Software after an update constitutes acceptance of the revised terms. By using the Software, you confirm that you have the legal capacity to enter into this agreement.
