END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“You” or “User”) and Cummins Worldwide™ (“Company,” “we,” “us,” or “our”), a personal and enterprise financial-management company, regarding your use of any software, mobile applications, client portals, dashboards, online tools, or digital services we provide to deliver our financial-planning, finance-management, bookkeeping, tax, accounting, risk-management, HR, or marketing Services (collectively, the “Software” or “Services”).

BY CLICKING “I ACCEPT,” ACCESSING, OR USING THE SOFTWARE/SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA. If you do not agree, do not use the Software/Services.

  1. License Grant

Subject to your compliance with this EULA and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal personal or business financial-management purposes during the term of your client relationship with us.

  1. Ownership

The Software, all content, documentation, and all intellectual property rights (including copyrights, trademarks, patents, and trade secrets) are and remain the exclusive property of Cummins Worldwide™ and its licensors. You receive no ownership rights—only the limited license above. The Software is licensed, not sold.

  1. Restrictions

You agree not to:

  • Copy, modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works of the Software
  • Rent, lease, lend, sell, sublicense, assign, or transfer the license
  • Use the Software for any illegal purpose or to transmit harmful code
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Software in any way that competes with our Services or exceeds the scope of the license
  • Share login credentials or allow unauthorized access

 

  1. Client Data and Privacy

Any financial or personal data you input into the Software is governed by our separate Privacy Policy (linked above). You retain ownership of your data, but grant us a limited license to use it solely to provide the Services.

  1. Term and Termination

This EULA is effective until terminated. We may terminate or suspend your license immediately if you breach any term, fail to pay fees, or if we cease offering the Software. Upon termination you must immediately cease all use and delete any local copies. Sections that by nature survive (ownership, disclaimers, liability limits, etc.) will continue.

  1. Updates and Support

We may provide updates, which may be mandatory. We are not obligated to provide support, maintenance, or updates unless agreed in a separate client-services agreement.

  1. Disclaimer of Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES, NOR THAT IT CONSTITUTES INVESTMENT, TAX, OR LEGAL ADVICE. YOU ASSUME ALL RISK OF USE.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

  1. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your misuse of the Software or violation of this EULA.

  1. Governing Law and Dispute Resolution

This EULA is governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in [Insert County, e.g., Pinellas County], Florida.

  1. Miscellaneous

This EULA constitutes the entire agreement and supersedes prior understandings. If any provision is unenforceable, the rest remain in effect. We may update this EULA; continued use after changes constitutes acceptance. No waiver of any breach is a waiver of any other breach.

 

By using our Services, you confirm you have the legal capacity to enter this agreement.
